Terms of Service

These Terms of Service ("Terms") govern your access to and use of Atlas Deed Engine (the "Service"), operated by The Deed Club, LLC ("we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

1. Acceptance of Terms

By accessing or using the Service, you represent that you are at least 18 years of age, have the legal capacity to enter into binding contracts in your jurisdiction, and agree to comply with these Terms and all applicable laws and regulations.

If you are using the Service on behalf of an organization or business, you represent that you are authorized to bind that organization to these Terms, and all references to "you" shall apply to both you individually and that organization.

2. Use of the Service

2.1 License Grant

Subject to your compliance with these Terms and payment of any applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes related to real estate investment research.

2.2 Account Registration

To access most features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at legal@thedeedclub.com if you suspect unauthorized access to your account.

2.3 Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. The information and data provided through the Service is intended for personal investment research and decision-support purposes only. Nothing in the Service constitutes financial, legal, or investment advice.

3. Subscriptions and Billing

3.1 Subscription Plans

The Service is offered on a subscription basis. We offer Free, Professional, and Enterprise tiers with features and limitations as described on our pricing page. We reserve the right to modify plan features and pricing with reasonable advance notice.

3.2 Payment

For paid plans, you authorize us to charge your designated payment method on a monthly or annual basis (as selected at checkout) in advance. All fees are in US dollars and are non-refundable except as expressly stated in these Terms or required by applicable law. Subscription fees are charged at the start of each billing period.

3.3 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period — you will retain access to paid features until that date. We do not provide prorated refunds for partial billing periods unless otherwise required by law.

3.4 Failed Payments

If a payment fails, we will attempt to retry the charge. If payment is not received within 7 days of the due date, we may suspend or downgrade your account to the Free tier until the balance is resolved. You remain responsible for any outstanding amounts.

4. Prohibited Activities

You agree not to engage in any of the following activities in connection with the Service:

  • Unauthorized access or scraping: Using automated tools, bots, spiders, scrapers, or other means to extract data from the Service beyond what is provided through our authorized API for Enterprise customers.
  • Circumventing access controls: Attempting to bypass, reverse-engineer, or defeat any authentication, access control, or rate-limiting mechanism of the Service.
  • Reselling data: Redistributing, reselling, sublicensing, or commercially exploiting any data, reports, or content obtained from the Service without our prior written consent.
  • Misrepresentation: Impersonating any person or entity, or otherwise misrepresenting your affiliation with a person or entity.
  • Harmful content: Uploading or transmitting viruses, malware, or any code designed to disrupt, damage, or interfere with the Service or the experience of other users.
  • Violation of law: Using the Service for any unlawful purpose, including but not limited to money laundering, fraud, or violation of real estate regulations in your jurisdiction.
  • Interference: Taking any action that imposes an unreasonable or disproportionately large load on our infrastructure, or that interferes with the proper functioning of the Service for other users.

5. Data and Intellectual Property

5.1 Our Intellectual Property

The Service, including its software, design, user interface, algorithms, aggregated data compilations, and content created by The Deed Club, LLC (collectively, "Our Content"), is protected by copyright, trademark, and other intellectual property laws. We grant you no rights in Our Content except the limited license described in Section 2.1. All rights not expressly granted are reserved.

5.2 Underlying Public Data

The Service aggregates data sourced from public county records, auction portals, and government databases. This underlying public information is not owned by The Deed Club, LLC. Our proprietary value lies in the aggregation, normalization, scoring, and presentation of this data — not the raw data itself.

5.3 Your Content

You retain ownership of any content you upload or input into the Service (e.g., saved searches, notes). By submitting such content, you grant us a limited, royalty-free license to use it solely for the purpose of providing the Service to you.

5.4 Feedback

If you submit ideas, suggestions, or feedback about the Service, you grant us an irrevocable, royalty-free license to use such feedback for any purpose without compensation or attribution to you.

6. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. We make no representation regarding the accuracy, completeness, or timeliness of auction data, bid information, property values, or any other data provided through the Service.

Investment disclaimer: Nothing in the Service constitutes financial, legal, tax, or investment advice. Tax deed investing involves significant financial risk, including the potential loss of your entire investment. You are solely responsible for your investment decisions. We strongly encourage you to consult qualified legal and financial advisors before bidding at any tax deed auction.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE DEED CLUB, LLC, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

  • Your use of, or inability to use, the Service;
  • Any investment decisions made in reliance on information obtained from the Service;
  • Errors, inaccuracies, or omissions in the data provided by the Service;
  • Unauthorized access to or alteration of your data;
  • Any other matter relating to the Service.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO THE DEED CLUB, LLC IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

8. Indemnification

You agree to defend, indemnify, and hold harmless The Deed Club, LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, your use of the Service, or your violation of any applicable law or third-party rights.

9. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice, including if we reasonably believe you have violated these Terms. Upon termination:

  • Your license to use the Service immediately ceases.
  • We may delete your account data in accordance with our Privacy Policy and applicable legal retention requirements.
  • Provisions of these Terms that by their nature should survive termination (including Sections 5, 6, 7, 8, 10, and 11) will survive.

You may terminate your account at any time by canceling your subscription and deleting your account through the account settings, or by contacting us at legal@thedeedclub.com.

10. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the State of Florida, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association, conducted in Florida.

You agree that any claims will be brought solely in your individual capacity and not as a plaintiff or class member in any purported class or representative proceeding. You waive your right to a trial by jury to the extent permitted by law.

11. General Provisions

  • Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and The Deed Club, LLC regarding the Service and supersede all prior agreements and understandings.
  • Modifications: We may modify these Terms at any time. We will provide at least 14 days' notice for material changes by emailing you or posting a notice inside the Service. Continued use after the effective date constitutes acceptance.
  • Severability: If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force.
  • Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
  • Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
